Parties This Membership Agreement (“Agreement“) is mutually accepted and entered into by and between Oan Health Natural Food Products Trade Limited Company (“OANHealth“) located at Karakoyun Sk. Güneş Apt. No:18/19 Rumeli Hisarı/Sarıyer/İSTANBUL and the individual who becomes a member of the website owned by OAN Health at https://new.webcozumleri.com, upon the Member’s electronic approval. OAN Health and the Member shall be referred to together as the “Parties” in this Agreement.
Definitions In this Agreement:
“Website” refers to the site consisting of the domain name https://new.webcozumleri.com and its subdomains, which are owned by OAN Health.
“Member” refers to the natural person who accesses the services, content, and applications provided on the OAN Health Website by registering on https://new.webcozumleri.com under the conditions specified in this Agreement.
Subject and Scope This Agreement covers the products, services, and content offered on the Website, the conditions for benefiting from these products, services, and content, and the rights and obligations of the Parties. The scope of the Agreement includes all warnings, writings, explanations, and similar statements made by OAN Health on the Website regarding the use of the site, membership to the site, and the products, services, and content contained on the site. By accepting the provisions of the Agreement, the Member also accepts all declarations related to the use of the site, membership to the site, and the products, services, and content contained on the site. The Member agrees, declares, and undertakes to act in accordance with all the matters specified in the aforementioned declarations.
Member’s Rights and Obligations The Member agrees, declares, and undertakes:
That the information provided in the Membership Form on the Website is accurate and that they are responsible for any damages arising from incorrect or incomplete information and that in such cases, their membership may be terminated.
That they are responsible for the personal opinions, thoughts, and expressions they put forward while using the products, services, and content on the Website, as well as the files and content they add to the Website, and that OAN Health cannot be held responsible for these contents.
That they will not possess or share any software or materials that could harm the Website or cause a dispute between OAN Health and other websites and/or institutions and organizations; if any criminal situation arises from such actions, all legal and penal responsibility belongs to them.
Not to access the products and services offered on the Website in any unauthorized way other than as determined by OAN Health, not to change the features of the software and services in any way, not to use modified versions, and to compensate for all material and moral damages that OAN Health may incur if they do not comply with the aforementioned articles.
Not to use the products, services, and content on the Website for commercial or advertising purposes without the permission of OAN Health, and that OAN Health has the right to use all legal rights and terminate the membership if they act contrary to the rules.
To be personally responsible for all transactions made with their “Username” on the Website.
To ensure the security of the Member name and password determined while registering to https://new.webcozumleri.com, to take the necessary measures, not to use other members’ membership accounts, Member names, passwords, not to access their data without permission, and not to share their passwords with others; otherwise, they will be responsible for any legal and penal consequences arising from this; OAN Health has no legal and penal responsibility if the said passwords/accounts are accessed or used by third parties; and to immediately inform OAN Health if they learn that their accounts have been used by unauthorized persons or that their passwords have been obtained by others.
Not to distribute messages containing information prohibited by law, chain letters, viruses, worms, etc., or any other content that could harm third parties; and not to send or use any programs and/or information that could harm the information or software on other Members’ computers.
Whether they are a member or just a visitor, in case of a breach of any of the obligations in this article:
They do not have the right to claim damages from OAN Health if they suffer any loss, and they will not direct any lawsuits or claims to OAN Health for this purpose.
If a third party suffers any damage due to their breach, they will immediately compensate for this damage at the first request; if they do not, OAN Health will recourse the total amount of the compensation, along with all legal interest and other accessories, from the date of payment.
If OAN Health has to pay any judicial or administrative fines due to their breach, OAN Health will recourse the amount, along with all legal interest and other accessories, from the date of payment.
If OAN Health suffers any damage due to their breach, they will pay the related damage to OAN Health, along with all legal interest and accessories, from the date the damage occurred.
To act in accordance with the provisions of this Agreement, the rules of the Website announced/notified by OAN Health in any way, the applicable legislation, and moral rules in all their business and transactions on the Website, and that they are personally responsible for these business and transactions in terms of legal and penal responsibility.
OAN Health’s Rights and Obligations
OAN Health may temporarily suspend or completely stop the operation of the Website at any time. OAN Health will not have any responsibility to its members or third parties due to the temporary suspension or complete stoppage of the Website.
OAN Health is not responsible for any damage that the Member may suffer due to technical failures that may occur in the Website services. OAN Health reserves the right to terminate communications, publications, and information transfers that may cause damage on its website at any time, and if necessary, to delete Member messages, to ban the Member from the products, services, and content, and to terminate their membership.
OAN Health reserves the right to change the products, services, and content offered on the Website at any time; to close the information and content uploaded by Members to the system to third-party access, including other Members, and to delete them. OAN Health can use this right without any notice and without prior notice. Members are obliged to promptly fulfill the changes and/or corrections requested by OAN Health. If deemed necessary, OAN Health may make these changes and/or corrections itself. Members are fully responsible for any damages, legal and penal responsibilities arising or that may arise due to the non-fulfillment of the changes and/or corrections requested by OAN Health in a timely manner.
OAN Health may, at its sole discretion, reject membership applications, terminate memberships, or attach additional terms and conditions to the acceptance or continuation of membership applications or the use of the Website or the purchase of products or the use of services at any time and without any reason. Any changes, additional terms and conditions, provisions, guidelines, and policies that will be brought and announced/notified after the Member’s membership transaction will be binding for the Member, and the Member will be deemed to have accepted them by continuing to use the Website/purchasing products/benefiting from services; however, if the relevant legislation provisions require them to be explicitly approved by the Member, OAN Health has the right and authority to partially or completely restrict, block, suspend, or terminate the Member’s membership until they are approved by the Member.
OAN Health may cancel the membership and unilaterally terminate the agreement if the Member violates any provision of the Agreement.
OAN Health may, at its sole discretion, partially or completely, permanently or temporarily, remove, change, make payable, update, suspend, stop, or open additional services on the Website and/or products and services. OAN Health has no responsibility to the Member and/or third parties regarding the matters listed in this article and other similar matters.
Intellectual Property Rights
The copyright of the products, services, and content on the Website belongs to OAN Health Import and Export Trade Joint Stock Company and/or the persons who have licensed or provided content to OAN Health Import and Export Trade Joint Stock Company or the direct manufacturers of the products, and they are protected under the Law on Intellectual and Artistic Works No. 5846 and other relevant legislation provisions. These products, services, and content cannot be reproduced, distributed, published, marketed, or derived works cannot be made or prepared, or given to the access or use of any third party in any unauthorized way. In case of any violation in this context, the Member agrees, declares, and undertakes that they will be held legally and criminally responsible.
OAN Health Import and Export Trade Joint Stock Company owns the ownership and copyright arising from the ownership of the information, documents, software, design, graphics, etc., produced and/or purchased externally by OAN Health within the scope of the OAN Health Website.
Members are obliged to show the necessary care to protect the intellectual and industrial property rights of others. Members can only upload content to the Website that they own the copyrights to. If the Member uploads written works, photos, pictures, logos, videos, and other content to the system without the permission of the authors and rights holders, whose intellectual and industrial property rights belong to others, OAN Health has the right to immediately remove the content subject to violation and, if necessary, terminate the memberships of the Members who committed this violation. Members who violate the intellectual and industrial property rights of third parties are personally responsible for these violations and any damages arising from these violations before third parties and public institutions and organizations in terms of legal and penal responsibility.
Privacy and Information Security
OAN Health will not use the personal data provided by the Member to them within the scope of the use of the Website for purposes other than those specified in this Agreement and will not share it with third parties except for legal obligations and the situations specified in this Agreement. OAN Health takes the necessary measures to protect the Member’s personal data against unauthorized access, modification, disclosure, or destruction.
The Member is responsible for the security of their login information (username, password, etc.) and personal data. If these data are accessed or used by unauthorized persons, OAN Health is not responsible for any damages that may arise. In such cases, the Member must immediately notify OAN Health and change their password and other necessary information.
OAN Health has the right to transfer personal data to subcontractors for the purpose of performing the work, provided that they comply with the obligations under the Law on Protection of Personal Data No. 6698 and other relevant legislation.
OAN Health may use the Member’s personal data for the following purposes:
To provide, maintain, develop, and improve the products, services, and content on the Website;
To communicate with the Member, provide support, and manage their requests and complaints;
To perform the Member’s transactions, orders, and payments;
To provide information about new products, services, and content;
To personalize the Website according to the Member’s interests and preferences;
To comply with legal obligations and to protect OAN Health’s rights and interests;
For statistical analysis, research, and reporting purposes.
OAN Health takes the necessary technical and administrative measures to ensure the security and confidentiality of personal data, and to prevent unauthorized access, disclosure, alteration, or destruction.
Termination and Cancellation
This Agreement shall remain in force as long as the Member continues to use the Website or maintain their membership on the Website.
OAN Health may terminate this Agreement at any time by giving prior notice to the Member.
The Member may terminate this Agreement at any time by deleting their membership account on the Website or by notifying OAN Health in writing.
In case of termination of this Agreement, the Member’s rights and obligations arising from this Agreement shall cease, except for the obligations that should continue after the termination of the Agreement.
Miscellaneous Provisions
If any provision of this Agreement is deemed invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect.
This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior agreements, understandings, and communications, whether written or oral, between the Parties regarding such subject matter.
The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or the right to enforce it at a later time.
This Agreement and any disputes arising out of or in connection with this Agreement shall be governed by and construed in accordance with the laws of the Republic of Turkey.
The competent courts and enforcement offices of Istanbul (Çağlayan) shall have exclusive jurisdiction over any disputes arising out of or in connection with this Agreement.
Amendments
OAN Health reserves the right to amend this Agreement at any time. Any amendments to this Agreement shall become effective upon posting on the Website or otherwise notifying the Member. The Member’s continued use of the Website following any amendments shall constitute their acceptance of such amendments.
Notifications
All notices and other communications required or permitted under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally, sent by registered or certified mail, return receipt requested, or sent by email to the addresses specified by the Parties.
